SincePartyAentrustsPartyBtotranslatetherelevantwrittendocument,twopartiesagreetosignthefollowingtranslationagreementundereachother’sfriendlyconsultation:
1.PartyAentrustsPartyBtotranslatetherelevantwrittendocumentwithatotalcharactersof
________(blanksnotincluded),andPartyBshalltranslatethedocumentinto_______languageinaccordancewithPartyA’sdemand.
2.WhenPartyBconfirmstoreceivetherelevantdocument,PartyBshallcompleteanddeliverthe
correspondingtranslateddocumenttoPartyAon_____(month)_____(day).
3.ThetranslationfeeshallbecalculatedinaccordancewithChinese
characters(blanksnotincluded);beforePartyBbeginstocarryouttherelevanttranslation,PartyAshallpayanadvancepaymentRMB______toPartyB.WhenPartyBdeliverstheentiretranslateddocumenttoPartyA,PartyAmustpayofftheentireremainingtranslationfeeRMB_______(deductingtheadvancepaymentfromthetotaltranslationfee).IfanydeferredpaymentoccursbyPartyA,PartyAshallcompensatethecorrespondinglosses,andpayPartyBwithalatepaymentchargeof5%ofthetotaltranslationfeeperday.
.PartyBshallcompletethetranslationworkintime,andguaranteethatthequalityofthe
translation.IfPartyAhasanyobjectiontothequalityoftranslateddocument,PartyAshallnoticePartyBinwrittenform.PartyBshallberesponsibleforcorrectingmistakesforfreeinthedocumenttranslatedwithinsevendaysafterPartyA’sreceivingthetranslateddocument.
5.PartyBshallkeepconfidentialityofanycontentofthedocumentsprovidedbyPartyAandcan
notdisclosetoanythirdparty.PartyBshallnotdisposetheoriginaldocumentandthe
correspondingtranslateddocumentinanyformwithoutauthorityofPartyA.
6.PartyBhasrightnottotranslatethedocumentwithunclearoriginaltestandblurredwriting.If
itisnecessary,PartyAandPartyBshalljointlyconsulttherelevantspecialnouns.
7.Sincethedateofsigningthisagreement,bothpartiesshallnotterminatethisagreementfreely.
Ifapartycausestheotherpartysufferlosses,thepartyviolatingtheagreementshallcompensatetheagreementvalueindoubleasadefaultpenalty,andPartyAandPartyBshallreservetheirrespectivelitigiousrights.
8.Ifthereisanyitemnotbeingreferredinthisagreement,PartyAandPartyBshalljointly
resolvethecorrespondingthroughconsultation.
9.Thisagreementshallbevalidafterbothparties’signingorsealinginthisagreement.
10.Anyfaxcopyofthisagreementshallbevalidandeffective.
Thisagreementiswritteninduplicates,oneforeachparty.
